Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and Propadex (“Propadex,” “we,” “us”) governing your access to and use of our websites, applications, text and email services, and related features (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that entity, and “you” refers to that entity.

2. The service

Propadex provides software that assembles, organizes, and answers questions about New York City real-estate information drawn from public records (such as ACRIS, PLUTO, HPD, DOB, ECB/OATH, DOF, and similar sources). You can access it through our web platform and by text message and email, including responses generated with the assistance of artificial intelligence.

Propadex is an information and research tool only. It is not legal, lending, tax, appraisal, brokerage, or inspection advice, and it is not a substitute for professional due diligence or independent verification.

3. Your account

To use most features you must create an account and provide accurate, current information, including a valid email address and mobile phone number that we verify with a one-time code. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

Notify us promptly of any unauthorized use of your account. We are not liable for losses arising from your failure to safeguard your credentials.

4. Subscriptions, free trial, billing, and cancellation

Paid plans are billed in advance on a recurring monthly basis through our payment processor, Stripe. Starting a plan requires a valid payment method. If your plan includes a free trial, you will not be charged until the trial ends, and you may cancel before then to avoid any charge.

Plans and their usage allowances (for example, the monthly query limit on lower tiers) are described at checkout and on our pricing page and may change with notice. Your subscription renews automatically at the end of each billing period until you cancel. You can change or cancel your plan at any time from your account, which opens Stripe’s billing portal; cancellations take effect at the end of the current paid period.

Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused allowances, or downgrades. We may change prices on a going-forward basis with reasonable notice before your next renewal.

5. Text message and email communications

By providing your phone number and using the Service, you consent to receive text messages from Propadex related to your account and the Service — including verification codes and the analyst’s responses to messages you send us. Message frequency varies based on your use. Message and data rates may apply, and your wireless carrier is not liable for delayed or undelivered messages.

You can reply STOP to opt out of non-essential messages and HELP for assistance. Opting out of account and security messages (such as verification codes) may limit your ability to use the Service. We also send service-related emails; you may opt out of non-essential email at any time.

6. Acceptable use

You agree not to misuse the Service. In particular, you will not: scrape, crawl, or bulk-extract data beyond what your plan permits; resell, sublicense, or redistribute the data or outputs as a competing dataset or product; reverse engineer or attempt to derive our source code or models; circumvent usage limits, security, or authentication; access accounts or data that are not yours; use the Service to violate any law or third-party right; or interfere with the Service’s operation, reliability, or cost.

We may rate-limit, suspend, or terminate accounts that violate these Terms or that threaten the security, integrity, or cost of the Service.

7. Data accuracy and no professional advice

The underlying property information is sourced from third-party public records and is provided “as is.” Public records can be incomplete, delayed, mis-recorded, or contain errors, and our coverage, accuracy, and refresh timing depend on those sources. We do not warrant the accuracy, completeness, currency, or fitness of any information.

You are solely responsible for independently verifying any information before relying on it for a transaction or decision. Nothing in the Service constitutes legal, financial, lending, tax, appraisal, brokerage, or inspection advice.

8. Intellectual property

The Propadex software, interfaces, designs, brand, and original content are owned by Propadex and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms. Public-record facts themselves are not owned by us.

You retain ownership of content you submit; you grant us a worldwide, royalty-free license to host, process, and use it as needed to provide and improve the Service. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

9. Third-party services

The Service relies on third-party providers — including Stripe (payments), and messaging, email, hosting, and AI-model providers — to function. Your use of features powered by these providers may also be subject to their terms, and we are not responsible for their acts or omissions.

10. Disclaimers

THE SERVICE AND ALL INFORMATION IN IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPADEX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, OR DATA, OR FOR DECISIONS MADE IN RELIANCE ON THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Propadex and its officers, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or any law or third-party right.

13. Suspension and termination

We may suspend or terminate your access at any time if you violate these Terms, if required by law, or to protect the Service or other users. You may stop using the Service and cancel your subscription at any time. Upon termination, your right to use the Service ends; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to these terms and the service

We may update these Terms or modify, suspend, or discontinue parts of the Service from time to time. If we make material changes to these Terms, we will provide notice (for example, by posting the updated Terms with a new date or by contacting you). Your continued use of the Service after the changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New York, New York have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there. Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally in good faith.
